Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you and 3 Orbit Solutions Sdn. Bhd. (Company Registration No. 202501010528 (1602942-M)) ("Company", "we", "us", or "our"), governing your access to and use of FlowAudit AI and all associated services, features, and content (collectively, the "Service").

By registering for or using the Service, you agree to be bound by these Terms. If you do not agree, you must not access or use the Service. If you are accepting these Terms on behalf of a firm or organisation, you represent that you have the authority to bind that entity to these Terms.

FlowAudit AI is a professional software-as-a-service platform designed to assist Malaysian Chartered Accountant firms and audit professionals with document analysis, transaction review, risk assessment, and workpaper generation. The Service uses artificial intelligence to support, not replace, professional judgement.

All outputs generated by the Service are AI-assisted analytical outputs intended as tools for professional review. They do not constitute auditing opinions, legal advice, financial advice, or any form of professional certification. The licensed professional remains solely responsible for all audit conclusions, sign-offs, and regulatory submissions.

To use FlowAudit AI, you must:

• Be at least 18 years of age
• Be a licensed audit or accounting professional, or acting under the supervision of one
• Register with accurate, complete, and current information
• Maintain the confidentiality of your account credentials
• Notify us immediately at security@flowaudit.my of any unauthorised use of your account

You are responsible for all activity that occurs under your account. We reserve the right to refuse registration or suspend accounts that do not meet these requirements or that violate these Terms.

3.1 Plans

Access to the Service is provided under subscription plans as detailed on our pricing page. During the beta period, access may be granted by invitation on a complimentary or limited basis at our sole discretion.

3.2 Billing

Subscription fees are billed in advance on a monthly or annual basis, as selected at the time of purchase. All amounts are stated in Ringgit Malaysia (RM) and are inclusive of applicable taxes unless stated otherwise.

3.3 Renewals & Cancellation

Subscriptions renew automatically unless cancelled before the renewal date. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods except where required by law.

3.4 Price Changes

We reserve the right to modify subscription pricing with at least 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the revised pricing.

You agree to use the Service only for lawful professional purposes. You must not:

• Upload documents you do not have the legal right to process or share
• Use the Service to engage in fraudulent, deceptive, or unlawful activity
• Attempt to reverse-engineer, decompile, or extract proprietary models or systems
• Introduce malicious code, scripts, or automated bots that interfere with the Service
• Share your account credentials with unauthorised parties
• Use the Service in a manner that violates any applicable professional conduct standards, including those set by the Malaysian Institute of Accountants (MIA)
• Represent AI-generated outputs as independently verified audit opinions without appropriate professional review

We reserve the right to suspend or terminate access immediately where a breach of this section is identified.

You retain full ownership of all data, documents, and content you upload to the Service ("Your Data"). By uploading Your Data, you grant us a limited, non-exclusive licence to process it solely for the purpose of delivering the Service to you.

We treat Your Data as confidential. We do not use Your Data to train AI models, for marketing, or for any purpose beyond delivering and improving the Service. Our handling of personal data within Your Data is governed by our Privacy Policy.

You are responsible for ensuring that any personal data within uploaded documents is handled in accordance with your own obligations under the PDPA and applicable professional standards, including obtaining appropriate client consents where required.

All intellectual property in the Service — including software, models, interfaces, trademarks, and content — is and remains the exclusive property of 3 Orbit Solutions Sdn. Bhd. or its licensors. Nothing in these Terms grants you any ownership right in the Service or its underlying technology.

You may not copy, reproduce, modify, or distribute any part of the Service without our prior written consent.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components. We do not guarantee the accuracy, completeness, or reliability of any AI-generated output. All outputs must be independently reviewed and verified by a qualified professional before any reliance is placed upon them.

FlowAudit AI is a decision-support tool. It is not a substitute for professional audit judgement, legal advice, or regulatory compliance expertise.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, 3 ORBIT SOLUTIONS SDN. BHD. AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such cases, our liability is limited to the fullest extent permitted by applicable law.

You agree to indemnify, defend, and hold harmless 3 Orbit Solutions Sdn. Bhd. and its affiliates, directors, officers, and employees from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your breach of these Terms; (c) your violation of any applicable law or regulation; or (d) any content or data you upload to the Service.

We may suspend or terminate your access to the Service immediately and without notice if you breach these Terms, engage in conduct that poses a risk to other users or the integrity of the Service, or where required by law.

Upon termination, your right to access the Service ceases immediately. Provisions of these Terms that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and indemnification — shall survive.

You may terminate your account at any time. Following termination, your data will be handled in accordance with our Privacy Policy.

These Terms are governed by and construed in accordance with the laws of Malaysia, without regard to conflict of law principles.

Any dispute arising out of or in connection with these Terms shall first be submitted to good-faith negotiation. If unresolved within 30 days, disputes shall be subject to the exclusive jurisdiction of the courts of Kuala Lumpur, Malaysia.

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or a prominent notice within the platform, with at least 14 days' notice before taking effect, except where changes are required by law.

Continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.

• Entire Agreement: These Terms and the Privacy Policy constitute the entire agreement between you and us regarding the Service.
• Severability: If any provision of these Terms is found unenforceable, the remaining provisions continue in full force.
• No Waiver: Our failure to enforce any right under these Terms does not constitute a waiver of that right.
• Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights without restriction.
